You want to set up a company (SRL) in Naples, bring in or let go a partner, change the articles of association, or buy a running business. These are acts that by law go through a notary, and for some years now a company can also be incorporated by videoconference, without coming to the office. Here you will find what we do, what it really costs (taxes, Chamber of Commerce fees, our fee) and how long it takes before the company is operating; we will give you the exact figure in a written approximate written quote in a short time.

What does the office do for your company?

Before the deed we help you choose: the capital, who will manage the company, how decisions between partners are taken, what happens if one of you wants to leave or dies. The articles of association are the contract that will govern the company for years, and the right clauses (pre-emption rights, consent clauses, drag-along and tag-along rights, majority rules) prevent tomorrow’s disputes. We then receive the incorporation deed, file it with the Companies Register through the telematic procedure, apply for a VAT number and tax code and open the certified email box (PEC): the company exists from the moment of registration. In later years we handle the shareholders’ resolutions that amend the articles of association, capital increases and reductions, and transfers of shares between partners or to third parties. We also handle conversions (from a general partnership to an SRL, from an SRL to a joint-stock company) and mergers. We handle the transfer or lease of a business, with checks on debts, employees and contracts passing to the buyer.

Can an SRL be set up online?

Yes. Legislative Decree no. 183 of 8 November 2021 implements EU Directive 2019/1151. It allows an SRL or SRLS funded with cash contributions to be set up by a digital public deed received by videoconference. Here is how it works: the partners identify themselves with SPID or an electronic ID card and connect to the National Notarial Council’s platform. The notary reads the deed, verifies identity and intent, and everyone signs with a digital signature. The capital is paid into an account of the company or of the notary before signing. The notary must be based in the region where the company will have its registered office: for companies based in Campania we can do this even if the partners are in Milan or in London. Property purchases and contributions of real estate, however, still have to be signed in person.

How much does it cost to set up an SRL with a notary in Naples?

Taxes and fees are fixed and the same everywhere; the notary’s fee depends on the type of company and on the articles of association. Here are the recurring items:

DeedTaxes and fees (indicative, 2026)Notary’s fee
Incorporation of an SRLS (standard articles, capital 1-9,999 euro)registration tax 200 euro; exempt from stamp duty and filing fees; annual Chamber of Commerce fee and tax on company books (309.87 euro) paid by the companynone by law (art. 3, Decree-Law 1/2012)
Incorporation of an SRL (tailored articles)registration tax 200 euro; stamp duty 156 euro; filing fees 90 euro; tax on company books 309.87 euro; annual Chamber of Commerce feebased on the capital and the complexity of the articles
Transfer of sharesregistration tax 200 euro; stamp duty and filing feesbased on the value of the shares
Resolution amending the articles, cash capital increase, conversionregistration tax 200 euro; stamp duty and Chamber of Commerce feesbased on the transaction
Business transferproportional registration tax on the assets transferred (different rates for goodwill, stock, real estate)based on the value and the checks carried out

An example: two partners set up an SRLS with 1,000 euro of capital for a consulting business. They pay 200 euro of registration tax, 309.87 euro for the tax on company books and the annual Chamber of Commerce fee; the notary’s fee is zero, by law. If instead they want tailored articles (partners with different powers, pre-emption clauses, majority-based management), an ordinary SRL is needed. For this, the fee is paid, plus stamp duty and filing fees. Estimate it with the company incorporation calculator, and remember that an SRLS can be converted into an SRL once the business grows.

What do you need to bring to the office (or upload online)?

The full list is on the Documents page.

How long does it take?

For an SRLS, a few days are enough between the first conversation, paying in the capital and signing; for an SRL with tailored articles, one or two weeks, the time needed to discuss the clauses. After the deed, registration with the Companies Register usually arrives within 2-5 working days, together with the VAT number and certified email box: from that moment the company can open a bank account and issue invoices. A transfer of shares is signed at a single appointment; a business transfer takes a few weeks for the checks and for the tax-debt certificate.

Frequently asked questions

SRL or SRLS: which is right for you?

It depends on what you need, and the difference is not only about price. The SRLS has the Ministry’s standard articles and cannot be changed: no pre-emption clause, no consent clause, no rule of its own on majorities or on a partner leaving. Capital ranges from 1 to 9,999 euro and the partners must be individuals. By law, incorporating an SRLS carries no notary’s fee (art. 3(3), Decree-Law 1/2012): only the registration tax and the Chamber of Commerce fees remain. It is a good path when starting out alone, or among a few partners who trust each other, when the standard rules are really enough. The ordinary SRL has free capital and articles written to measure: it is the right choice when there is more than one partner, or when investors come in. It is also useful when you want to set out now what happens if someone wants to leave, a dispute arises, or a partner dies.

Do you really need a notary to transfer shares?

Yes, either as a notarial deed or as a privately signed document with notarised signatures; since 2008 a digital signature filed by an accountant is also possible. In any case the deed must be filed with the Companies Register and pays the fixed registration tax. The notary also checks the pre-emption and consent clauses set out in the articles of association, which, if ignored, make the transfer ineffective against the company.

Can I set up the company online if I live abroad?

Yes, if you have SPID or an electronic ID card and a digital signature, and if the company will be based in Campania. Anyone without Italian identification tools can still take part through a power of attorney.

Buying shares or buying the business: what is the difference?

With shares you buy the company with everything it holds, debts included; with the business you buy the assets and contracts, and for debts shown in the accounts you are jointly liable with the seller. The taxes are very different: we explain them in Business transfer or transfer of shares.
